Terms of Service

By accessing or using the APEX Capitals platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

These Terms constitute a legally binding agreement between you (or the organisation you represent) and APEX Capitals Ltd, a company registered in England and Wales.

APEX Capitals provides a software-as-a-service ("SaaS") platform for asset management, portfolio analytics, and financial reporting, designed for UK investment holding companies.

The Service includes access to the web application at app.apexcapitals.co.uk and any APIs, integrations, or tools made available as part of your subscription plan.

We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice.

To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old and have authority to bind your organisation to these Terms. Business accounts must be registered by an authorised representative.

Notify us immediately at security@apexcapitals.co.uk if you suspect unauthorised access to your account.

The Service is offered under subscription plans as described on our pricing page. Subscription fees are charged in advance on a monthly or annual basis in Pounds Sterling (GBP).

Payment is processed via our PCI-DSS compliant payment processor. By providing payment details, you authorise us to charge the applicable fees.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. No refunds are provided for unused portions of a subscription period, except where required by applicable law.

We reserve the right to change pricing with 30 days' notice. Price changes apply from your next renewal date.

We offer a 14-day free trial for new accounts. No payment details are required during the trial period. At the end of the trial, your account will revert to a free tier or you may choose to subscribe.

Trial accounts may have limited features as specified on our pricing page. We reserve the right to terminate trial accounts that abuse the trial offering.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Service or other users' accounts
• Upload malicious code, viruses, or any software intended to damage or impair the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or extract data from the Service beyond normal API usage
• Resell or sublicense the Service without our written permission
• Use the Service to process data you do not have rights to process

You retain full ownership of all data, content, and information you upload or input into the Service ("Your Content").

You grant APEX Capitals a limited licence to process Your Content solely for the purpose of providing the Service to you. We will not use Your Content for any other purpose, including training machine learning models, without your explicit consent.

You are responsible for ensuring you have all necessary rights to upload and process Your Content through the Service, including any obligations under UK GDPR if Your Content contains personal data of third parties.

You may export or delete Your Content at any time. Upon account deletion, Your Content will be permanently deleted within 30 days.

The Service, including its software, design, features, and documentation, is owned by APEX Capitals Ltd and protected by intellectual property laws.

These Terms do not grant you any ownership rights in the Service. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription period.

If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable licence to use such feedback to improve the Service.

We process personal data in accordance with our Privacy Policy and applicable UK data protection law, including UK GDPR and the Data Protection Act 2018.

Where you use the Service to process personal data of third parties (such as tenants or business contacts), you act as Data Controller and APEX Capitals acts as Data Processor. A Data Processing Agreement is available upon request.

All data is stored in UK data centres. We do not transfer data outside of the United Kingdom.

We aim to maintain 99.9% uptime for the Service. Planned maintenance will be communicated in advance where possible.

Enterprise plan customers are entitled to a formal Service Level Agreement (SLA) as agreed in their enterprise agreement.

We are not liable for service interruptions caused by factors outside our reasonable control, including third-party service failures, internet infrastructure issues, or force majeure events.

To the maximum extent permitted by applicable law, APEX Capitals shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from reliance on data or analytics provided by the Service

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

The Service is not a substitute for professional financial, legal, or investment advice. APEX Capitals is not regulated by the Financial Conduct Authority and does not provide regulated financial advice.

You agree to indemnify and hold harmless APEX Capitals, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of the Service in an unlawful manner
• Your Content infringing third-party rights
• Your breach of applicable data protection laws

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or engage in activity that may harm the Service or other users.

Upon termination, your right to access the Service ceases. You may request a data export before termination. We will retain your data for 30 days after termination to allow export, after which it will be permanently deleted.

These Terms are governed by the laws of England and Wales. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage you to contact us first to resolve any disputes informally before initiating legal proceedings.

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice in the platform at least 30 days before changes take effect.

Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms.
